This is the fourth edition of this surprisingly popular textbook on corporate governance. The new edition follows pretty much the format and style of the previous three editions. Mallin's approach to corporate governance has hardly changed in this fourth edition. It is still embedded in regulation and practice, but is very lightweight in terms of its coverage and critical analysis of both the theoretical and empirical academic literature. Current regulation is treated as a fait accompli and there is little or no critical assessment of it. Mallin still seems to reduce corporate governance to compliance and best practice. This text could be used as the main textbook on an executive course on corporate governance, but would need to be supplemented with further, more advanced readings. However, it is definitely not challenging and thorough enough to be used as the main text on a course aimed at regular university students.
